1. Introduction
Welcome to Digg. Throughout these Terms and Conditions, "we," "us," and "our" refer to PRIXEL LABS. These Terms and Conditions ("Terms") govern your access to and use of our startup discovery platform, including our leaderboards, digg feature, startup profiles, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
2. Acceptance of Terms
By creating an account, registering a startup, or accessing any content from Digg, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.
We reserve the right to modify these Terms at any time. Continued use of our Services after changes constitutes acceptance of the modified Terms.
3. Service Description
Digg is a startup discovery platform that provides:
- A discovery feature ("digg") that allows users to explore and discover emerging startups
- Leaderboards displaying startups ranked by verified revenue metrics (MRR tiers)
- Startup profile pages showcasing metrics, founder information, and achievements
- Gamification features including badges and achievements
- Real-time metrics tracking from connected payment providers
Our Services are provided free of charge. We do not sell products or charge for access to the platform.
4. User Accounts
4.1 Account Creation
To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.
4.3 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
5. Startup Registration and Metrics
5.1 Startup Registration
Founders may register their startups on our platform by providing accurate information about their startup, including name, description, website, category, and other relevant details.
5.2 Payment Provider Connection
To display verified metrics on leaderboards, founders must connect their payment provider accounts (such as Stripe, LemonSqueezy, or other supported providers). By connecting your payment provider:
- You authorize us to access your revenue metrics through the provider's API
- You agree that we may display these metrics publicly on leaderboards and startup profiles
- You understand that metrics are automatically fetched and cannot be manually edited
- You represent that you have the authority to connect the payment provider account
5.3 Verified Metrics
All metrics displayed on our platform are verified through direct integration with payment providers. We do not allow manual editing of revenue metrics to ensure accuracy and prevent fraud. We reserve the right to remove any accounts with fraudulent, misleading, or inaccurate data.
5.4 Public Display
By registering your startup, you understand and agree that certain information will be publicly visible, including:
- Startup name, description, website, and logo
- Revenue metrics (MRR, customer count)
- Leaderboard rankings
- Badges and achievements
- Founder name and Twitter handle (if provided)
6. User Conduct and Prohibited Uses
You agree not to use our Services:
- In any way that violates any applicable law or regulation
- To transmit, distribute, or store material that is defamatory, harassing, abusive, threatening, or obscene
- To transmit any malicious code or viruses
- To impersonate or attempt to impersonate another user, person, or entity
- To engage in any automated use of the system, including scraping, crawling, or data mining
- To interfere with or disrupt the Services or servers or networks connected to the Services
- To attempt to gain unauthorized access to any portion of the Services
- To register a startup that you do not own or have authority to represent
- To provide false, inaccurate, or misleading information about your startup
- To manipulate metrics or attempt to game the leaderboard system
7. Intellectual Property
7.1 Our Intellectual Property
The Services, including all content, features, and functionality, are owned by PRIXEL LABS and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services.
7.2 Your Content
You retain ownership of any content you submit to our platform (startup information, descriptions, logos, etc.). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on our platform for the purpose of providing our Services.
8. Disclaimers and Warranties
8.1 No Guarantee of Results
While we provide a platform for startup discovery and visibility, we make no guarantees regarding your ability to achieve specific outcomes, such as user acquisition, funding, or business growth. Your success depends on various factors including your product quality, market conditions, and business execution.
8.2 Service "As Is"
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components.
8.3 Third-Party Services
We integrate with third-party payment providers (Stripe, LemonSqueezy, etc.) to fetch metrics. We are not responsible for the availability, accuracy, or reliability of these third-party services. Any issues with payment provider APIs or data accuracy are beyond our control.
8.4 Accuracy of Information
While we strive to display accurate metrics through verified payment provider integrations, we cannot guarantee the absolute accuracy of all displayed information. Metrics are displayed as received from payment providers and may be subject to delays or discrepancies.
9. Limitation of Liability
To the maximum extent permitted by law, Digg and its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) the Services
- Any unauthorized access to or use of our servers and/or any personal information stored therein
- Any interruption or cessation of transmission to or from the Services
- Any bugs, viruses, or other harmful code that may be transmitted through the Services
- Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content
- Any issues arising from third-party payment provider integrations
Our total liability to you for any claim arising from or relating to these Terms or the Services shall not exceed the amount you paid to us (if any) in the twelve (12) months preceding the claim, or $100, whichever is greater.
10. Indemnification
You agree to defend, indemnify, and hold harmless Digg and its affiliates, officers, employees, and partners from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:
- Your use of and access to the Services
- Your violation of these Terms
- Your violation of any third-party rights, including any copyright, trademark, or other intellectual property rights
- Any content you submit to our platform, including false or misleading information
- Your connection of payment provider accounts without proper authorization
11. Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts located in India.
13. Changes to Services
We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Digg regarding the use of our Services and supersede all prior agreements and understandings.
